Founding 100 Program Terms
Terms governing the Founding 100 Program — the free Pro trial for the first 100 Studios to claim ownership on Bailar, and the platform-commission waiver + badge for the first 100 verified Instructors.

These Founding 100 Program Terms (the “Program Terms”) are an appendix to and form part of the Bailar Terms of Service, and — with respect to Part A (Founding Studios) only — the Studio Master Terms, in each case as offered by Bailar, Inc., a Delaware corporation (successor by statutory conversion effective May 4, 2026 to Bailar LLC, a Florida limited liability company) (“Bailar”). By enrolling a Studio in the Founding Studios track, or by accepting Founding Instructor status, you agree to these Program Terms in addition to the Terms of Service and, for Studios, the Studio Master Terms. Where these Program Terms conflict with the Studio Master Terms or the Terms of Service with respect to the trial period, conversion, the commission waiver, or any other Founding-100-specific benefit, these Program Terms control for the duration of the benefit described herein; for all other subjects (data processing, marketplace-facilitator status, chargebacks, termination, dispute resolution) the Studio Master Terms (for Studios) and the Terms of Service control. Capitalized terms not defined here have the meanings given to them in the Terms of Service or the Studio Master Terms.
The “Founding 100 Program” (the “Program”) comprises two independent tracks: the Founding Studios track (Part A — up to one hundred (100) Studios) and the Founding Instructors track (Part B — up to one hundred (100) Instructors). Each track has its own eligibility rules, benefit, and cap; enrollment in one track neither requires nor confers enrollment in the other.
Part A — Founding Studios
A1. The Studios Track
The Founding Studios track is a promotional program offered by Bailar to the first one hundred (100) Studios to successfully claim ownership of their Studio listing on Bailar (each, a “Founding Studio”). The track offers each Founding Studio a ninety (90)-day free trial of the Bailar Pro plan (the “Founding Trial”), at the conclusion of which the Pro subscription auto-converts to the then-current standard Pro price (currently $29.00 USD/month, or $290.00 USD/year if annual billing is selected during the Founding Trial). No discounted post-trial subscription price is granted by the track.
The track is offered as part of Bailar’s Studio subscription service. Founding Studio slots are allocated strictly by Studio-claim rank (ranks 1 through 100) as described in Section A2, on a first-come, first-served basis while slots remain available.
A2. Eligibility — Claim Rank 1 to 100
A Studio is eligible for the Founding Trial if and only if its claim rank (its 1-based position in the global chronological order of approved Studio claims on Bailar, as recorded by Bailar at the time of approval) is between one (1) and one hundred (100), inclusive, at the time the Studio enrolls in the Pro plan. Claim rank is locked at the moment of approval and is not adjusted thereafter for any reason, including subsequent cancellations, refunds, or account changes. Claim ranks 101 and above are not Founding Studios and do not receive the Founding Trial; their Pro subscriptions are subject to the standard trial (currently fourteen (14) days) and then the standard price.
A3. Plan Scope — Pro Only
The Founding Trial applies to the Pro plan only. Elite subscriptions are not eligible for the Founding Trial and are billed at the standard Elite price from day one. A Founding Studio in mid-Founding-Trial that upgrades to Elite forfeits the remaining portion of the Founding Trial; the Elite subscription is billed under Stripe’s standard mid-trial upgrade behavior with no carry-over benefit. A Founding Studio that completes the Founding Trial and converts to standard Pro may subsequently upgrade to Elite under the ordinary terms.
A4. Trial Conversion
At the end of the ninety (90)-day Founding Trial, the subscription auto-converts to the then-current standard Pro price. The card on file is charged automatically. Cancellation prior to the trial-end date results in no charge for the Founding Trial; the Studio reverts to the Free plan and any subsequent re-enrollment in the Pro plan is treated under the standard trial rules of Section A5.
A5. Cancellation, Re-Enrollment, and One-Time Per Real-World Business
If a Founding Studio cancels mid-trial (whether by the Studio, by Bailar for non-payment after the standard dunning sequence, or otherwise) and later re-enrolls in the Pro plan, the re-enrollment is treated as a new Pro subscription and is subject to the standard trial in effect for non-Founding Studios. The unused portion of the original Founding Trial is forfeited. The Founding Trial is offered on a one-time per-real-world-business basis: Bailar may, in its reasonable discretion, refuse to honor a Founding Trial (or revoke a previously-granted Founding Trial) if it determines that a single real-world business has claimed multiple Studio listings primarily to obtain multiple Founding slots. Multiple legitimate locations of a single business may each qualify for the multi-location features of the applicable plan; they do not entitle the business to multiple Founding Trials.
A6. Currency, Tax, and Regional Pricing
The Founding Trial has no monetary subscription fee; consequently it is not denominated in any currency. The standard Pro price to which the subscription auto-converts at trial-end is denominated in United States Dollars (USD) and is exclusive of applicable taxes, levies, and similar charges (collectively, “Taxes”), which are added at checkout and remitted by Bailar via Stripe Tax in accordance with the local taxing jurisdiction. If Bailar introduces region-localized standard subscription pricing (e.g. a localized LATAM, EU, or APAC tier) during a Founding Trial, the post-trial price for that Founding Studio is the regional price in effect at the trial-end date.
A7. Annual Billing
Bailar currently offers annual billing for the Pro plan (see the Studio Master Terms). Founding Studios may elect annual billing during the Founding Trial; the annual subscription is billed at the standard annual Pro price in effect at the trial-end date (currently $290.00 USD/year). Any general-availability annual-billing discount that Bailar offers to standard-priced subscribers applies to a Founding Studio’s post-trial annual subscription on the same terms as for any other subscriber.
A8. Founding Studio Badge
Each Founding Studio receives a “Founding Studio” badge displayed on its Studio profile, subject to the owner’s visibility setting. The badge is a recognition marker, not a certification, endorsement, or quality guarantee by Bailar. Section C4 (badge conditions) applies.
Part B — Founding Instructors
B1. The Instructors Track; Activation
The Founding Instructors track is a promotional program offered by Bailar to the first one hundred (100) natural persons whose instructor applications are approved and verified on Bailar (each, a “Founding Instructor”). The instructors track becomes operative on the date Bailar activates instructor enrollment (the “Instructor Track Activation Date”), which Bailar will announce by posting to /legal/founding-program-terms and by email to the account address of each then-eligible instructor. Prior to the Instructor Track Activation Date, Part B confers no benefit and imposes no obligation on Bailar. Approval rank under Section B2 is determined by approval order regardless of whether the approval predates the Instructor Track Activation Date, but the commission waiver applies only to Eligible Transactions processed on or after that date.
Activation notice (posted July 15, 2026): Bailar has activated instructor enrollment. The Instructor Track Activation Date is July 15, 2026 (15:01 UTC). The commission waiver described in this Part B applies to Eligible Transactions processed on or after that date and time.
For as long as a person holds Founding Instructor status under Section B2 (“enrolled”) and the Program remains active (see Section C1), Bailar waives its platform commission (the standard rate of which is currently 2.5%) on that Founding Instructor’s Eligible Transactions (defined in Section B3) — i.e. the Founding Instructor’s effective Bailar platform commission is zero percent (0%), regardless of any change to the standard platform-commission rate while the waiver is in force. The waiver is a promotional benefit of the Program, not a permanent price term: when it ends under Section C1 or Section B2, the standard platform commission then in force (currently 2.5%) applies to subsequent Eligible Transactions. Each Founding Instructor also receives the “Founding Instructor” badge described in Section B4.
For clarity: the waiver applies only to Bailar’s own platform commission. Third-party payment-processing fees (including Stripe processing fees), currency-conversion costs, Taxes, and any other charges imposed by parties other than Bailar are not Bailar fees, are not waived, and remain payable in accordance with the Terms of Service and the processor’s terms.
B2. Eligibility — Approval Rank 1 to 100
A person is a Founding Instructor if and only if their instructor approval rank (their 1-based position in the global chronological order of approved and verified instructor applications on Bailar, as recorded by Bailar at the moment of approval) is between one (1) and one hundred (100), inclusive. Approval rank is locked at the moment of approval and is not adjusted thereafter. Bailar’s records are authoritative as to approval rank; a Founding Instructor may confirm their own rank and enrollment status by contacting [email protected]. Approval ranks 101 and above are not Founding Instructors; their transactions are subject to the standard platform commission in effect at the time of each transaction.
Founding Instructor status is personal to the approved natural person, is limited to one slot per natural person regardless of the number of accounts or profiles they hold, and is not transferable, assignable, or salable. Bailar may, in its reasonable discretion, refuse to honor or may revoke Founding Instructor status where it determines that a person has created or used multiple accounts, misrepresented their identity, or otherwise manipulated the application process primarily to obtain or multiply Founding slots.
Founding Instructor status is conditioned on maintaining an active instructor profile in good standing. If Bailar revokes a person’s instructor status for fraud, safety violations, or material breach of the Terms of Service or the Community Guidelines, their Founding Instructor status (including the commission waiver and badge) terminates at the same time. Forfeited or revoked Founding Instructor slots are not re-issued to later applicants.
B3. Eligible Transactions
“Eligible Transactions” are payments for private lessons, drop-in sessions, and class enrollments taught by the Founding Instructor in their personal capacity and processed through Bailar’s integrated payment rails, in each case where Bailar would otherwise assess its platform commission against the instructor’s proceeds. The waiver applies on a per-transaction basis to Eligible Transactions whose payment is processed while the Founding Instructor’s waiver is in force; it does not apply retroactively to transactions processed before enrollment took effect, nor to transactions processed after the waiver ends under Section C1 or Section B2. The waiver does not apply to: (a) transactions processed outside Bailar’s payment rails; (b) studio-side revenue (e.g. a studio’s class or subscription revenue), even where the Founding Instructor teaches for or owns that studio — studio revenue is governed by the Studio Master Terms and, if applicable, Part A; (c) refunded or charged-back transactions, which are handled under the Refund & Cancellation Policy; or (d) any transaction category that Bailar introduces after the Amendment Date and expressly designates, at introduction, as outside the Program.
B4. Founding Instructor Badge
Each Founding Instructor receives a “Founding Instructor” badge displayed on their instructor profile. The badge denotes early membership in the Bailar instructor community; it is a recognition marker, not a certification of teaching quality, safety screening beyond Bailar’s standard verification, or endorsement by Bailar. Unless terminated earlier under Section B2 or Section C4, the badge persists as an honorary marker even after a Program sunset under Section C1 ends the commission waiver.
B5. Consumer Traction — Not Contractually Guaranteed
The Bailar Service is a two-sided marketplace at an early stage. The number of consumer users (dancers) on the Service, the volume of lesson bookings, and any other measure of consumer engagement or instructor income is not contractually guaranteed by the Program. The commission waiver applies to whatever Eligible Transactions actually occur; it is not a promise that any will. The Program likewise does not guarantee the continued availability of the Service, of any feature, or of any payment rail — availability, suspension, and termination are governed by the Terms of Service. The waiver has no cash value and cannot be redeemed, exchanged, or paid out.
B6. Independent-Contractor Status Unaffected
Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship between Bailar and any Founding Instructor. Instructors remain independent third parties responsible for their own taxes, licensing, insurance, and legal compliance as set out in the Terms of Service. The commission waiver is a fee reduction on marketplace transactions, not wages, a subsidy, or a guaranteed payment.
Part C — General Program Provisions
C1. Program Sunset
The Program, or either track individually, may be sunset, terminated, or otherwise discontinued by Bailar at any time, with not less than ninety (90) days’ prior written notice to affected enrollees, delivered through the notice mechanism described in Section C2 (email to the address associated with the participant’s account and posting to /legal/founding-program-terms). Studios that began a Founding Trial before the effective date of any such notice complete their Founding Trial on the terms in force at the time of enrollment. For Founding Instructors, the commission waiver applies to Eligible Transactions processed before the sunset effective date; Eligible Transactions processed on or after the sunset effective date are subject to the standard platform commission then in force. The Founding Instructor badge persists per Section B4.
C2. Modification of Program Terms
Bailar may modify these Program Terms from time to time. Material modifications affecting active Program participants will be communicated by email to the address associated with the participant’s account and posted to /legal/founding-program-terms. Material modifications that reduce a benefit already in force (including the Part B commission waiver) take effect no sooner than ninety (90) days after notice, consistent with Section C1. No modification retroactively impairs a benefit already received — commissions already waived on processed transactions stay waived, and a completed or in-progress Founding Trial is not shortened. A participant who does not accept a material modification may withdraw from the Program at any time before its effective date, without penalty, by written notice to [email protected]; withdrawal ends the participant’s Program benefits prospectively and does not affect their underlying account or any other agreement with Bailar. Continued participation in the Program after the effective date of any modification constitutes acceptance of the modified Program Terms.
C3. No Other Modifications to the Terms of Service
Except as expressly modified by these Program Terms, the Terms of Service, the Studio Master Terms, and the Refund & Cancellation Policy (including all dispute-resolution, arbitration, governing-law, and limitation-of-liability provisions) remain in full force and effect.
C4. Badge Conditions
All Program badges remain Bailar’s property and are licensed for display only on the Bailar Service and in the enrollee’s own truthful marketing (e.g. “Founding Instructor on Bailar”). Badges may not be used in a manner that misrepresents the holder’s relationship with Bailar or implies certification or endorsement. Bailar may suspend or remove a badge for violation of these conditions, the Terms of Service, or the Community Guidelines.
